General Terms and Conditions

  1. Application of the Terms

The following terms govern the commercial relations between beconart and its customers. They also include the websites, companies and brands under our address, together with their content, including offers and orders presented.
Contracts are concluded exclusively on the basis of our terms of order, delivery and payment. Any conditions of purchase of the customer are expressly rejected, unless they have been accepted in writing in individual cases. Silence on the part of beconart regarding dispatched contract or purchase conditions shall not be considered as acceptance. Contract and purchase conditions are only binding if confirmed by us in writing.
Differing or additional terms, as well as telephone or verbal agreements, are only valid if confirmed by us in writing. We reserve the right to entrust the performance of contractual obligations to other suitable companies directly subordinate to us, independent artists or freelancers, specialist companies, etc. (subcontractors).

  1. Offers

Our offers are always freely revocable, non-binding and based on these General Terms and Conditions. Divergent terms are only valid if they are expressly and clearly stated in writing in the offer and confirmed by us in writing or by fax or e-mail. Verbal additional agreements are not accepted.
We are not responsible for the accuracy of technical data and other information contained in manufacturers' price lists, announcements, catalogues or other printed material. We reserve the right to make technical modifications where these are reasonable for the customer.

  1. Conclusion and Content of the Contract

The scope of beconart's services, the client's fee and other terms are defined in an individual contract, project contract or framework contract.
The contract is considered concluded when the customer sends a signed copy of the contract or order (in individual cases also via email or fax) and beconart starts the execution of the work and/or the delivery of materials. All orders are binding only after written confirmation or commencement of work. By placing an order or receiving written confirmation, the customer accepts these terms and conditions.

  1. Execution / Execution Times

If the execution of the services is delayed due to unforeseen circumstances beyond our control, such as weather conditions, air or material temperatures below 5°C, painting work in temperatures below 12°C, rain in outdoor work, interruption of construction sites due to regulations or force majeure, the agreed execution times shall be extended accordingly.
Inactivity times or delays that are not attributable to us are compensated by the customer at a rate of 80% of the agreed value per employee, plus additional costs such as travel expenses. The customer bears the burden of proving a lesser loss.

  1. Receiving

Extensive work is usually discussed weekly with the client on site or by telephone and recorded in writing. For projects lasting more than 4 weeks, the individual stages are recorded in written protocols. Upon completion of the work, acceptance can be made on site or through a written statement of completion. Acceptance is also carried out in accordance with the applicable legislation, such as the German Civil Code (BGB) or the VOB regulations.

  1. Claims, Defects and Liability

Claims due to incomplete or incorrect performance or obvious defects must be notified in writing immediately, at the latest within 8 days of performance. Other defects must be notified in writing as soon as they are discovered. Otherwise, the work shall be deemed to be accepted and further claims shall be excluded.
In the event of a dispute, beconart has the right to inspect and remedy the defects. If the customer carries out repairs without beconart's approval, the customer loses all rights to claim.

  1. Terms of Delivery of Materials

The delivery of materials is carried out upon written order and in accordance with the applicable logistics conditions. The technical specifications and safety instructions of the data sheets must be observed. The return of delivered materials is excluded. In the case of shipment at the customer's request, the risk of loss or damage shall be transferred to the customer at the time of shipment.

  1. Prices and Terms of Payment

All prices are quoted without VAT or according to the reverse charge mechanism according to §13b UStG. Payments must be made within the agreed period. Our standard payment terms are 5 calendar days from the invoice date. We reserve the right to claim default interest.

  1. Advances / Partial Payments

For new customers we reserve the right to require a deposit up to the full amount of the contract upon confirmation of the order. Execution or delivery will only take place after payment of the deposit.

  1. Retreat

In the event of the customer's withdrawal without justifiable reason or non-performance of the contract for reasons attributable to the customer, beconart is entitled to compensation of 25% of the net value of the contract, regardless of proof of greater damage.

  1. Solvency check

beconart is entitled to receive solvency information from financial information organisations and to transmit the necessary data for this purpose.

  1. Competent Jurisdiction

The exclusive place of jurisdiction and performance for any dispute is the headquarters of beconart in Stuttgart.

  1. Final provisions

The law of the Federal Republic of Germany shall apply exclusively. Divergent terms shall only apply if agreed in writing. The e-mail format is not sufficient to comply with the written form. If any provision is invalid, the validity of the remaining provisions shall not be affected.
